 Board Meeting Minutes

March 9, 2017
 Downtown Visitor Center

The mission of the Bennington Downtown Alliance is to build, improve, and support
a vital downtown that benefits our entire community.

Present: President Eric Peterson, Jeannie Jenkins, Edie Sawitsky, Kelly Clarke, Ted Bird, Heather Maneely, Keith Carey, Beth Wilwol, Matthew Harrington*, and Michael McDonough*.  Staff: John Shannahan and Diane Perry. *Ex-officio
Absent:  Shelley Colvin and Michael Keane.

Call to Order
                A quorum was confirmed by President Eric Peterson who then convened the meeting at 7:30am.

Minutes
                The February 2017 Annual board minutes were reviewed. Action/Resolution- Motion to accept the February minutes was made by Edie Sawitsky, seconded by Ted Bird.  All in favor.  Motion carried. Minutes accepted as presented.

    Reports
Financial Report             Executive Director John Shannahan reported on the financials which were reviewed at the Organizational level. All is in order. Action/Resolution- a motion to approve was made by Edie Sawitsky, seconded by Ted Bird.
Motion carried.

Director’s Report Discussion regarding report:

  • ·          Downtown Kiosk- refurbishing one panel at a time with great success with the help of Bill Clark and the Town. Matching paint color is Victorian Green. Action/Resolution – continue with renovating and painting.
  • ·          Park @336 – committee members completed the second round of mailings. The best results are when the committee meets face to face with potential donors.  Action/Resolution – Town will be submitting a Downtown Transportation grant for funding.
  • ·          Board Officers – Michael McDonough is now ex officio, representing the Town and he stepped down as Chair of the BDA’s Design committee as well. Eric Peterson is now interim President; a new Design committee Chair will be appointed. Action/Resolution – no action needed.
  • ·          St Patrick’s Day Parade – this Sunday. Our parade is one individual activity that coincides with other activities such as the JC’s “kick-off” fundraiser breakfast. We need to be clear that the BDA is not affiliated with the fundraiser; it is strictly JC’s event. Action/Resolution – make sure our role is clear in all events that coincide with our partners events.

New Business

  • ·          Bennington Downtown & the “Regional Approach” – BDA is one of the leading organizations involved in economic development, but the BDA is not regional, we are specifically downtown focused.  We have a very important role over the next few months and next few years, including the expansion of the developments in Downtown. Our strength is in good communication and partnerships with those other organizations while adhering to our mission to be downtown focused.  Action/Resolution – a motion for BDA to support the development of a hotel in the downtown district was made by Ted Bird, seconded by Kelly Clarke. All in favor. Motion carries.  Discussion regarding TIF will be on next month’s agenda

Adjournment                                                                                                                                                             

     Eric Peterson called for the adjournment of the meeting at 9:05am.  Action/Resolution - a motion was made to adjourn by Ted Bird seconded by Keith Carey. Motion carried unanimously.
